1. Definitions

"Owner" means the content provider of this site including the Development Information Network of Arkansas, the UALR Institute for Economic Advancement, and any other organization as noted within this site. "User" means each person who establishes a connection or uses information contained within this site in any form.

2. General

By using this site (other than the initial reading of this document described in Part 10), user agrees to comply with the statement herein. The user is responsible for ensuring compliance with this and all other agreements entered into on other portions of this site.

3. Copyrights Statements

This website contains copyrighted material including but not limited to text, graphics, photos, software, and source codes. The entire contents of this website are copyrighted as a collected work under the United States copyright laws.

Except as otherwise expressly permitted under copyright law or in Part 5 of this agreement, users shall not copy, redistribute, retransmissit, publish or commercial exploit downloaded material. In the event of any permitted copying, redistribution or publication of copyrighted material, no changes in or deletion of author attribution, trademark legend or copyright notice shall be made.

Permission to modify these documents, or use for commercial purpose or financial gain, must be negotiated with the owners of this site in advance. The owners' names may not be used in advertising or commercial publicity pertaining to this document without express, written prior consent.

4. User Conduct

User agrees to defend, indemnify and hold harmless the owners, their affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys' fees, arising out of the use of this site.

7. Termination

This agreement is subject to termination at will by either party without notice. The owners will have the right to immediately terminate user's access privileges in the event of any conduct by user that the owners consider to be unacceptable, or in the event of any breach by user of this agreement.

8. Miscellaneous

This agreement along with any future authorized agreements are the sum total of these terms of service. This agreement supercedes all previous written agreements and all previous or subsequent oral agreements. The owners reserve the right to update this agreement subject to the requirements state in Part 2 of this agreement. This agreement will be construed in accordance with the laws of the state of Arkansas and Arkansas law will govern any disputes.

If any part of this agreement is deemed invalid or in conflict with federal, state, or municipal law, it is severed from the agreement and the remaining portion maintains its full force and validity.
